This chapter examines the intricacies of international company law. This area’s significance lies in the ways in which it governs the corporate issues of cross-border activities of companies. A key aspect of international company law is the recognition of a corporation as legal person outside its home country. The internationally recognized legal capacity to conclude contracts, to hold property, and to have standing before courts is fundamental to a company’s radius of action. Thus the chapter delves into the criteria governing company jurisdictions, the recognition of foreign corporations and deference to ‘home’ regulation, and EU company law—in particular the newly developed corporate form of the Societas Europaea (SE).
